ANTI-MONEY-LAUNDERING (AML) COMPLIANCE PROGRAM Inrevecable LLC, as an entity operating within the InnoVault sovereign banking network, maintains this AML Program in accordance with FinCEN guidance and the Bank Secrecy Act. 1. COMPLIANCE OFFICER. An AML Compliance Officer is designated to oversee the program. 2. CUSTOMER DUE DILIGENCE. The Company will verify the identity of Members, institutional counterparties, and any depositor above $3,000 using risk-based diligence. 3. SUSPICIOUS ACTIVITY REPORTING. The Company will file SARs for transactions meeting FinCEN reporting thresholds. 4. RECORDKEEPING. Records shall be maintained for a minimum of five years. 5. TRAINING. ARTICLES OF ORGANIZATION OF INREVECABLE LLC Pursuant to Section 203 of the New York Limited Liability Company Law, the undersigned, being a person authorized to act on behalf of the organizer, hereby executes and files these Articles of Organization for the purpose of forming a limited liability company. ARTICLE I — NAME The name of the limited liability company is Inrevecable LLC. ARTICLE II — PURPOSE The Company is formed to hold and administer sovereign treasury positions, intellectual property assets, and strategic capital on behalf of, and in coordination with, the InnoVault sovereign banking network; to engage in any lawful act or activity for which limited liability companies may be organized under New York law; and to do all things necessary, convenient, or incidental to such purposes. ARTICLE III — DURATION The Company shall have a perpetual existence unless dissolved earlier in accordance with its Operating Agreement. ARTICLE IV — REGISTERED OFFICE The address of the registered office of the Company in the State of New York is 146 Madison Avenue, Albany, NY 12202. ARTICLE V — REGISTERED AGENT The name of the registered agent of the Company at such address is InnoVault Treasury Secretariat, LLC. ARTICLE VI — MANAGEMENT The Company shall be managed by its Members unless otherwise determined in the Operating Agreement. OPERATING AGREEMENT OF INREVECABLE LLC This Operating Agreement ('Agreement') is entered into by and among the Members of Inrevecable LLC ('the Company'), pursuant to the New York Limited Liability Company Law. 1. FORMATION. The Company was formed by filing Articles of Organization with the NY Department of State. This Agreement governs the internal affairs of the Company. 2. PURPOSE. The Company is organized to hold and administer sovereign treasury positions, intellectual property assets, and strategic capital on behalf of the InnoVault network. 3. MEMBERS. The initial Members of the Company and their ownership interests shall be set forth on a Membership Schedule maintained by the Company. 4. MANAGEMENT. The business and affairs of the Company shall be managed by or under the direction of the Members, acting by majority vote weighted by ownership interest. 5. ALLOCATIONS AND DISTRIBUTIONS. Profits and losses shall be allocated among the Members in proportion to their ownership interests, and distributions shall be made at such times and in such amounts as determined by the Members. 6. FIDUCIARY DUTIES. Each Member owes the Company and the other Members duties of loyalty and care as required under New York law. 7. DISSOLUTION. The Company shall dissolve upon the affirmative vote of Members holding a two-thirds ownership interest, or as otherwise required by law.
